Hi! Doc, can one tone-up/shape up/lose weight with only exercising without dieting

Yes, it is certainly possible to tone and shape your body by only doing exercise provided the exercises you do are targeted to specifically work on the areas of your body that need shaping or toning. When it comes to weightloss, it is also possible to lose weight by exercise alone, but the majority of individuals do not do sufficient exercise to actually lose significant amounts of weight. So unless you are doing a great deal of training, it is usually more rewarding from a weightloss point of view to combine regular exercise and a diet which is moderately energy-reduced.
